3. User Accounts and Registration

You retain all ownership rights to any content, data, or materials you provide to us. By using our services, you grant Cosmo Star a limited license to use, process, and display your content solely for the purpose of providing our services.
5.3 Work Product
Unless otherwise agreed in writing, all custom software, code, and deliverables created specifically for you as part of a paid engagement shall be transferred to you upon full payment. However, Cosmo Star retains rights to any proprietary tools, frameworks, or methodologies used in the development process.
6. Payment and Fees
6.1 Service Fees
Fees for our services are determined based on:
- Project scope, complexity, and requirements
- Development time and resources required
- Technology stack and infrastructure needs
- Ongoing maintenance and support requirements
6.2 Payment Terms
Unless otherwise specified:
- Payment terms will be outlined in a separate service agreement or statement of work
- Invoices are due within 30 days of issuance unless otherwise agreed
- Late payments may incur interest charges or service suspension
- All fees are non-refundable unless otherwise stated in writing
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This includes but is not limited to:

- Business strategies, plans, and financial information
- Customer data and personal information
- Trade secrets and proprietary methodologies
8. Service Level Agreement (SLA)
For enterprise clients with specific SLA agreements:
- Uptime guarantees and performance metrics will be specified in separate SLA documentation
- Support response times and escalation procedures will be defined
- Remedies for SLA breaches will be outlined in the service agreement
9. Third-Party Services
Our services may integrate with or rely on third-party services, APIs, or platforms. Your use of such third-party services is subject to their respective terms and conditions. Cosmo Star is not responsible for the availability, functionality, or policies of third-party services.
10. Disclaimer of Warranties
While we strive to deliver high-quality services, we make no guarantees regarding:
- Specific results or outcomes from using our services
- Compatibility with all systems or platforms
- Uninterrupted or error-free operation
- Security against all possible threats or vulnerabilities
11. Limitation of Liability
Cosmo Star's total liability for any claims arising from or related to our services shall not exceed the total amount paid by you to Cosmo Star in the twelve (12) months preceding the claim.
12. Dispute Resolution
12.1 Informal Resolution
In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiation.
12.2 Arbitration
If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, unless otherwise agreed in writing.
13. Force Majeure
Cosmo Star shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, fuel, energy, labor, or materials.
14. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Cosmo Star may assign or transfer its rights and obligations without restriction.
15. Modifications to Services
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the services.

17. Miscellaneous
- Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

- Language: This Agreement may be translated into other languages. In case of conflict, the English version shall prevail.
- Survival: Provisions that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, and limitations of liability.
By using Cosmo Star's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
